These Terms and Conditions ("Terms") govern all quotes issued by Vivanti Tech Limited ("we", "us", "our") for audio-visual services, maintenance, and support. By accepting a quote, you ("the Customer") agree to be bound by these Terms.

    1. Quote Validity

    • All quotes are valid for 7 days from the date of issue unless otherwise stated.
    • Quotes are subject to availability of personnel and equipment at the time of acceptance.
    • We reserve the right to withdraw or amend a quote prior to acceptance if circumstances change.

    2. Pricing and Payment

    • All prices are quoted in pounds sterling (GBP) and are exclusive of VAT unless otherwise stated.
    • Payment terms are 30 days from the date of invoice unless otherwise agreed in writing.
    • We reserve the right to charge interest on overdue payments at 4% above the Bank of England base rate.
    • Fixed price quotes are based on the scope of work described; additional work will be quoted separately.
    • Day rate quotes are charged per engineer per day (8 hours); overtime may be charged at an enhanced rate.

    3. Scope of Work

    • The scope of work is as described in the quote and any accompanying documentation.
    • Any changes to the scope must be agreed in writing and may result in additional charges.
    • We will endeavour to complete work within any estimated timeframes, but these are not guaranteed.

    4. Access and Site Requirements

    • The Customer must provide safe and timely access to the site and all relevant areas.
    • The Customer is responsible for obtaining any necessary permissions or access arrangements.
    • If access is delayed or denied, we reserve the right to charge for waiting time or reschedule.

    5. Cancellation

    • Cancellations must be made in writing at least 24 hours before the scheduled work.
    • Cancellations made with less than 24 hours' notice may incur a cancellation fee of up to 50% of the quoted price.
    • We reserve the right to cancel or reschedule work due to circumstances beyond our control.

    6. Liability

    • We maintain appropriate professional indemnity and public liability insurance.
    • Our liability is limited to the value of the quote or the cost of re-performing the services, whichever is lower.
    • We are not liable for indirect, consequential, or special damages.
    • Nothing in these Terms limits liability for death or personal injury caused by negligence.

    7. Intellectual Property

    • All intellectual property rights in our methodologies, tools, and documentation remain our property.
    • Upon payment, the Customer receives a licence to use any deliverables for their internal purposes.

    8. Confidentiality

    • Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement.
    • This obligation survives termination of the agreement.

    9. Data Protection

    • We process personal data in accordance with our Privacy Policy and applicable data protection laws.
    • Where we process data on behalf of the Customer, we will do so only as instructed and with appropriate safeguards.

    10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to acts of God, strikes, government actions, or public health emergencies.

    11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    12. Amendments

We may update these Terms from time to time. The version in effect at the time of quote acceptance shall apply to that engagement. The current version is always available on this page.

    13. Non-Solicitation and Non-Circumvention

No direct engagement. During the engagement and for 12 months after completion (or termination) of the relevant services, the Customer shall not, without our prior written consent, directly or indirectly:

    • employ, engage, contract with, or procure the services of any engineer, contractor, or consultant introduced or supplied by us in connection with the services; or
    • encourage or facilitate any such person to provide similar services to the Customer outside of our agreement.

Non-circumvention. The Customer shall not seek to circumvent our commercial arrangements by placing work directly with any such engineer/contractor or by engaging them through a third party where the effect is to avoid paying fees due to us.

Permitted exception. This clause does not prevent engagement where the Customer can demonstrate, with written evidence, that the individual was already employed or engaged by the Customer prior to our introduction and independently of our services.

Fees for breach. If the Customer breaches this clause, the Customer shall pay us, as a genuine pre-estimate of loss and not as a penalty, an introduction fee equal to the greater of:

    • £5,000, or
    • 20% of the total remuneration (including salary, contractor fees, commissions and any benefits) paid or payable to the individual over the first 12 months of the engagement,

in addition to any other rights or remedies we may have.

Injunctive relief. The Customer acknowledges that damages alone may be an inadequate remedy and that we may seek injunctive relief and/or specific performance in addition to damages.
